1. Acceptance of Terms

Welcome to RazzDeals. These Terms of Service constitute a legally binding agreement between you and RazzDeals governing your access to and use of the RazzDeals platform, including our website, mobile application, and all related services (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Service.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting updated Terms on our platform and updating the Effective Date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Definitions

• Service: The RazzDeals platform, including website, application, and all associated services.
• Box Break: A structured group purchase where a sealed sports card box is divided into a fixed number of Spots (typically one per team or lot). After all Spots are purchased, the box is opened live on stream and each Spot holder receives the cards corresponding to their Spot.
• Razz: A group purchase of fractional co-ownership in a specific collectible item. Each Spot represents a co-ownership share. After all Spots are purchased, a random selection process determines which co-owner takes physical possession of the item.
• Spot: A purchasable unit of participation in a Box Break or Razz.
• Operator: RazzDeals, which organizes and conducts Box Breaks on the platform.
• Host: A verified User who organizes and conducts Razzes on the platform using their own collectible items.
• Buyer: A User who purchases one or more Spots in a Box Break or Razz.
• User: Any individual or entity that accesses or uses the Service.
• Recipient: The Buyer whose Spot is selected during the random selection process in a Razz.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years of age to use our Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3.2 Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must immediately notify us of any unauthorized access to your account.
• You may not transfer your account to another person without our prior written consent.
• One person may not maintain multiple accounts unless expressly authorized.

3.3 Verification

We may require identity verification for certain activities, including hosting Razzes, processing payments above specified thresholds, and compliance with applicable regulations.

4. Service Description

RazzDeals operates as an online marketplace connecting collectors through two distinct product types:

4.1 Box Breaks (Operator-Run)

RazzDeals organizes and conducts Box Breaks. A sealed sports card box is divided into a fixed number of Spots. Each Spot corresponds to a specific team or lot within the box. Once all Spots are purchased, the box is opened live on stream. Each Buyer receives the cards associated with their Spot. Every Buyer in a Box Break receives cards — there is no single recipient of the full box.

4.2 Razzes (User-Hosted)

Verified Hosts may list their own collectible items for group purchase as Razzes. Each Spot represents a co-ownership share in the item. After all Spots are sold, a cryptographically verifiable random selection determines which co-owner takes physical possession of the item. All other co-owners' shares are satisfied through the group purchase structure.

4.3 Platform Functions

• Listing and discovery of Box Breaks and Razzes
• Secure direct payment processing per Spot
• Provably fair random selection mechanisms (SHA-256 commit-reveal)
• Live stream integration for Box Break openings
• Dispute resolution services

4.4 Service Limitations

For Razzes, RazzDeals is a platform provider only. We do not own, sell, or take possession of items listed by Hosts. We are not responsible for the authenticity, condition, or value of items in Host-run Razzes.

5. User Obligations and Conduct

5.1 General Obligations

All Users agree to: comply with applicable laws and regulations; provide accurate and truthful information; maintain account security; respect intellectual property rights of others; and conduct all transactions in good faith.

5.2 Host Obligations

Hosts additionally agree to: accurately represent items listed; possess legal ownership of all listed items; complete all Razzes in a timely manner; ship items promptly to the Recipient; and comply with all applicable regulations in their jurisdiction.

5.3 Buyer Obligations

Buyers agree to: make timely payment for purchased Spots; accept the results of the selection process; provide accurate shipping information; and acknowledge that Spot fees are non-refundable except as provided in these Terms.

6. Payments and Fees

6.1 Payment Model

Buyers pay directly for each Spot at the time of purchase. RazzDeals does not hold funds on behalf of Users or operate a stored-value wallet system. All payments are processed transaction-by-transaction through our third-party payment processors.

6.2 Payment Processing

We use third-party payment processors to process transactions. By using our Service, you agree to the terms and conditions of the applicable payment processors. Payments must be made in Canadian dollars (CAD) unless otherwise specified.

6.3 Platform Fees

6.4 Refunds and Cancellations

Spot fees are non-refundable once a Box Break or Razz has commenced. Refunds may be issued if: the event is cancelled before commencement; technical errors prevent proper completion; fraud or misrepresentation is detected; or as required by applicable law.

7. Box Break and Razz Rules

7.1 Random Selection

All Razzes use a provably fair SHA-256 commit-reveal mechanism for random selection. The selection seed is committed to on-chain before Spots are sold, and the result can be independently verified by any Buyer. The random selection process cannot be manipulated by any party, including RazzDeals.

7.2 Completion Requirements

For a Box Break or Razz to proceed: all Spots must be sold (or a fill threshold met as specified); payment must be received from all Buyers; and the event must be conducted using platform tools.

7.3 Box Break Streaming

Box Breaks are conducted live via embedded stream (YouTube or Facebook Live). The stream link will be posted on the event page before commencement. Buyers are responsible for arranging to watch the stream; failure to watch does not affect the validity of the opening or entitle a Buyer to a refund.

7.4 Item Delivery

For Box Breaks, RazzDeals ships cards to each Buyer within 5 business days of the break. For Razzes, Hosts must ship to the Recipient within 5 business days of selection. Tracking information must be provided. High-value items must be insured during shipping.

7.5 Disputes

Users must first attempt to resolve disputes directly. If resolution cannot be reached, either party may submit the dispute to RazzDeals for mediation. Our decision in disputes is final and binding.

8. Intellectual Property Rights

8.1 RazzDeals IP

All platform content — including text, graphics, logos, software, and the provably fair random selection system — is the property of RazzDeals or its licensors and is protected by applicable intellectual property laws.

8.2 User Content

By posting content on our platform, you grant RazzDeals a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display such content in connection with operating and promoting the Service. You represent that you own or have the necessary rights to post your content.

9. Prohibited Activities

You expressly agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to manipulate the random selection process
• Create multiple accounts to circumvent restrictions
• Engage in fraud, misrepresentation, or deceptive practices
• List counterfeit, stolen, or illegally obtained items
• Interfere with or disrupt the Service or its servers
• Attempt unauthorized access to any part of the Service
• Collect personal information about other Users without consent
• Use automated systems to access the Service without authorization
• Harass, threaten, or abuse other Users
• Engage in money laundering or financing of illegal activities
• Circumvent any fees owed to the platform

12. Indemnification

You agree to defend, indemnify, and hold harmless RazzDeals and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or connected with: your use of the Service; your violation of these Terms; your violation of any third-party rights; your conduct in connection with the Service; or any disputes between you and other Users.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at support@razz.deals. Upon termination, you remain liable for all outstanding obligations.

13.2 Termination by RazzDeals

We reserve the right to suspend or terminate your access, without prior notice, for any reason including violation of these Terms, fraudulent or illegal activity, requests by law enforcement, extended inactivity, or failure to pay fees owed.

13.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal claim, you agree to first contact us at legal@razz.deals to attempt informal resolution. We will attempt to resolve the dispute within 30 days of receiving your notice.

14.2 Governing Jurisdiction

Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. Both parties consent to personal jurisdiction in Ontario.

14.3 Class Action Waiver

YOU AND RAZZDEALS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. Miscellaneous

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RazzDeals concerning the Service.

15.3 Severability

If any provision of these Terms is found to be unenforceable, that provision shall be limited to the minimum extent necessary so that these Terms shall otherwise remain in full force.

15.4 Language

These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
